Terms of Service
These Terms of Service ("Terms") are a legal agreement between you ("Customer", "you", "your") and Ceyltech ("Ceyltech", "we", "us", "our") and govern your access to and use of our websites, applications, and related services (the "Service").
By creating an account, signing up for a demo/trial, clicking "accept," or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
1. What the Service is
Ceyltech provides a software platform designed for shipping document workflows, including (depending on your deployment and enabled functionality):
- Copy-docs / shipping document analysis (e.g., extracting and cross-checking shipping document data such as container numbers, seal numbers, weights, parties, ports, and related fields).
- OCR (Optical Character Recognition) to make scanned/image documents searchable and extract text.
- AI-assisted analysis to generate structured outputs and validations.
- PDF viewing and highlighting to visualize extracted fields and discrepancies.
- Exports and workflow support to help teams operationalize structured results (if enabled in your deployment).
The Service may include a public demo or trial experience that has different limitations than paid usage.
2. Eligibility and who may use the Service
You must be at least 18 years old and able to enter into a binding contract.
If you use the Service on behalf of a company or other organization, you confirm you have authority to bind that organization. In that case, "you" refers to the organization.
3. Accounts, login, and security
3.1 Account registration
To use the Service (other than certain public pages/demos), you may need an account. Ceyltech may use third-party identity and authentication services (for example, Microsoft Entra External ID (Customer Identity and Access Management, "CIAM")).
You agree to provide accurate information and keep it updated.
3.2 Account security
You are responsible for:
- Keeping your credentials confidential
- Limiting access to authorized users
- All activity that occurs under your account
Notify us promptly if you suspect unauthorized access or a security incident.
3.3 Suspension
We may suspend or restrict access if we reasonably believe:
- Your account is compromised
- Your use creates a security risk
- You breach these Terms
- You fail to pay applicable fees (if any)
4. Customer Content and permissions
4.1 Customer Content
"Customer Content" means any documents, files, text, data, or materials you upload, submit, store, or process through the Service (including shipping documents and any extracted outputs).
You keep ownership of Customer Content.
4.2 Your permissions to upload content
You represent and warrant that:
- You have all necessary rights and permissions to upload and process Customer Content
- Your Customer Content and use of the Service comply with all applicable laws (including data protection laws)
4.3 License to process Customer Content
You grant Ceyltech a limited, non-exclusive, worldwide license to host, copy, transmit, process, and display Customer Content only to provide, maintain, and secure the Service, including performing OCR, AI extraction, cross-checking, and generating results. (This is necessary so the Service can function.)
5. "No AI training on your data"
Ceyltech's intent is that Customer Content is used to provide the Service to you, not to train public/general AI models.
To run the Service, we may use third-party systems (for example, cloud hosting, OCR services, and AI model endpoints). In practice, this means Customer Content may be processed by approved subprocessors strictly to deliver the Service.
We may use aggregated, de-identified usage metrics (for example: error rates, feature usage counts, performance timings) to improve reliability and usability—without using your documents to build a dataset of your content.
6. Data protection, GDPR, and Data Processing Addendum
6.1 Privacy Policy and Cookie Policy
Our handling of personal data is described in our Privacy Policy and Cookie Policy.
6.2 Roles under GDPR
In many business-to-business (B2B) cases:
- You are the Data Controller (you decide why/how personal data is processed)
- Ceyltech is the Data Processor (we process on your instructions)
Where required, we will offer or sign a Data Processing Addendum (DPA) covering security, subprocessors, transfers, and audit/assistance terms.
6.3 Subprocessors
The Service may rely on subprocessors such as:
- Cloud hosting (e.g., Microsoft Azure)
- OCR services (e.g., Azure Document Intelligence)
- AI inference endpoints (e.g., Azure OpenAI)
- PDF rendering/highlighting components (e.g., Apryse WebViewer)
6.4 Data retention
We retain Customer Content and generated outputs only as long as needed to provide the Service and as configured in your account settings or subscription. You may be able to delete Customer Content in the Service. We may retain limited backups and logs for security, fraud prevention, and legal compliance for a limited period.
7. Acceptable use and prohibited activities
You agree not to:
- Upload malware, exploit code, or attempt to disrupt the Service
- Attempt unauthorized access (including probing, scanning, penetration attempts without permission)
- Reverse engineer, decompile, or attempt to extract source code from the Service (except where prohibited by law)
- Use the Service to violate laws (including privacy, sanctions, export controls, or intellectual property laws)
- Use the Service to process content you do not have rights to process
We may remove content or suspend accounts that violate these rules.
8. Third-party services and links
The Service may integrate with or depend on third-party services (identity providers, cloud platforms, OCR/AI services, analytics, etc.). Those services may have their own terms.
Ceyltech is not responsible for third-party services outside our control, except to the extent required by law.
9. Fees, plans, trials, and renewals
9.1 Paid plans
If you purchase a paid plan, you agree to pay the fees and taxes described at checkout, in an order form, or in your subscription plan.
9.2 Trials / demos
If you use a free trial or demo, it may be offered "as-is" and may have feature limits, usage caps, or data retention differences.
9.3 Renewals
Subscriptions renew automatically unless you cancel before the renewal date.
9.4 Non-payment
If payment is overdue, we may suspend access after notice (or immediately where needed to prevent abuse).
10. Intellectual property
10.1 Our IP
Ceyltech owns the Service, including software, design, branding, and documentation, and all related intellectual property rights.
10.2 Your license to use
We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during the term of your subscription, subject to these Terms.
11. Service availability, support, and changes
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted operation.
We may change, update, or discontinue features. If a change materially reduces core functionality of a paid plan, we will use reasonable efforts to provide notice.
12. Accuracy disclaimer
Important: The Service helps automate document processing, extraction, and validation, but:
- OCR and AI outputs can contain errors or omissions
- Extracted fields and cross-check results are assistance, not a guarantee
- You are responsible for verifying outputs before using them operationally (e.g., customs filings, legal/commercial documents, carrier submissions)
13. Warranty disclaimer
To the maximum extent permitted by law, the Service is provided "as is" and "as available."
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of liability
To the maximum extent permitted by law:
- Ceyltech will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data, even if we were advised such damages were possible.
- Ceyltech's total liability under these Terms will not exceed the fees paid by you to Ceyltech in the 12 months immediately before the event giving rise to the claim.
For free trials/demos: liability is limited as far as legally allowed (often effectively zero).
Some jurisdictions do not allow certain exclusions; in that case, these limits apply to the maximum extent permitted.
15. Indemnification
You will indemnify and hold harmless Ceyltech from claims, damages, and expenses (including reasonable legal fees) arising from:
- Your Customer Content
- Your breach of these Terms
- Your violation of laws or third-party rights
16. Term and termination
16.1 Term
These Terms apply from the moment you start using the Service and continue until your subscription ends or your account is terminated.
16.2 Termination by you
You may stop using the Service and cancel your subscription in accordance with your plan's cancellation rules.
16.3 Termination by us
We may terminate or suspend your access:
- For breach of these Terms
- For non-payment (if applicable)
- If required by law
- To prevent security or operational harm
16.4 Effect of termination
Upon termination:
- Your access ends
- Customer Content handling follows your retention/deletion settings and our legal obligations (see Section 6.4)
17. Confidentiality
Each party may receive the other party's confidential information. Both parties agree to protect it and use it only to fulfill obligations related to the Service.
18. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting an update in the Service or on our website).
Continued use after the effective date means you accept the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules.
Any dispute will be brought in the courts of Copenhagen, Denmark, unless you and Ceyltech agree otherwise.
